Covered commercial loans, commercial open-end credit plans, and accounts receivable purchase transactions, subject to statutory exemptions.

Key Requirements

  • Provide disclosures before or at consummation of a covered commercial financing transaction
  • Provide one disclosure per transaction
  • Include variable-payment methodology when payments may vary
  • Avoid prohibited broker advance fees and misleading broker conduct

  • Total amount of funds provided
  • Total amount of funds disbursed
  • Total of payments
  • Total dollar cost of financing
  • Manner, frequency, and amount of payments
  • Estimated payments when payment amounts vary
  • Prepayment costs or discounts

  • Civil penalties under the Commercial Financing Disclosure Act
  • Attorney General enforcement
  • Underlying agreement enforceability is addressed separately by statute
